Definition of Client // The persons whose signatures appear on this Wedding Contract shall be the Client’s and shall be the ones to whom M Farmer Productions LLC dba Michael Farmer Photography delivers its products, and shall be financially responsible for all payments to be made under this contract. This contract incorporates the entire understanding of the parties, and any modifications to it must be in writing and signed both by M Farmer Productions LLC dba Michael Farmer Photography and by the Client. *

Exclusive Photographer // It is agreed that Michael Farmer Photography will be the exclusive commercial photographer providing still prints for or at this event. Others may take photographs or record video as long as they do not interfere with the duties of Michael Farmer Photography and do not photograph or record poses arranged by Michael Farmer Photography. It is agreed that interference from others, paid or unpaid, who attempt to photograph or record the same poses or scenes during the same time period as Michael Farmer Photography may detract from the quality of Michael Farmer Photography's images, and may be cause for Michael Farmer Photography to cease work until such interference ends. Michael Farmer Photography will not be responsible for time or images missed as a result of such interference. *

Copyright and Reproductions // It is agreed that Michael Farmer Photography shall own the copyright to all images created through this contract. Michael Farmer Photography shall have the exclusive right to make reproductions for the Photographer’s portfolios, samples, self-promotions, advertisements, entry in photographic contests or art exhibitions, editorial use, for display within or on the outside of the photographer’s studio, including the Internet. Client further grants the right and permission to use and/or publish said digital images, either in original or computer-altered format, in conjunction with client’s own or a fictitious name, in any reproduction through any media for any purpose, forever. This copyright excludes anyone except Michael Farmer Photography from making identical or substantially similar copies of the work, from creating adaptations or derivatives of the original work, from re-selling the work in any way, and from displaying the work publicly or as a for-profit marketing/advertising technique. Client may use images for personal use only. *

Prices // These prices shall be in effect for a period of thirty days after the date of the event. For any additional items, or for contracted items not fully specified or ordered by Client until after the thirty day date (“late orders”), prices shall be those in Michael Farmer Photography’s regular price list in effect at the time any such additional or late order is made. *

Personnel // Michael Farmer Photography may substitute photographers in the event of a photographer’s illness or incapacity. In the event of such substitution, Michael Farmer Photography warrants that the photographer taking the photographs shall be a competent professional. Michael Farmer Photography may utilize one or more assistants at the event, and such assistants may also take photographs under the supervision of a principal. *

Retainer Payments / Liquidated Damages // No part of any order will be delivered until the balance is paid in full. Half of Total Service Fee is due at time of contract signing; balance is due seven days prior to event. Once Michael Farmer Photography reserves a date/time for the Client, it ceases attempting to sell its services for this date/time to others. If the event is cancelled or postponed, Michael Farmer Photography suffers a loss. The Client agrees that it would be difficult to ascertain the damages suffered by Michael Farmer Photography as a result of a cancellation or postponement of the event. Therefore, the Client agrees that if Client cancels or postpones the event 60 days or more before the event, that reasonable liquidated damages is the initial retainer payment made by the Client is not refundable. The Client further agrees that if the cancellation or postponement of the event is done within 60 days before the event, the reasonable liquidated damages are all monies, including, but not limited to, the retainer that has been paid to Michael Farmer Photography and are not refundable. Should, for any reason, the date of the event change or be postponed, best efforts will be made by Michael Farmer Photography to accommodate the new date one time. The new event date must occur within 12 months of the original wedding date, otherwise the Agreement becomes voided and Michael Farmer Photography is not obligated to provide services, and Client will be responsible for cancellation policies outlined in this Agreement. The Client agrees that once a new event date is chosen, 25% of the original balance of Total Service Fee is due on the original Agreement due date, and the remaining 25% balance is due one week prior to the new event date.  Michael Farmer Photography reserves the right to cancel any of the contracted services if Clients do not cooperate as outlined in the "Client's Responsibilities" section below. In the event Michael Farmer Photography terminates this Agreement, the deposit and/or any monies paid by the Client will be refunded to the Client within (30) days. *

Studio Liability and Performance // Michael Farmer Photography takes great care with respect to the exposure, processing, and delivery of photographs. In the event Michael Farmer Photography cannot comply with the terms of this contract due to negligence, oversight, accident, error, omission, any other avoidable or unavoidable circumstance, whether caused by Michael Farmer Photography or otherwise, Michael Farmer Photography's and/or photographers' liability for this or any other circumstance shall be limited to the amount paid up to that time by the Client. Michael Farmer Photography does not guarantee to capture any particular image(s) or meet any particular aesthetic criteria as part of its performance under this contract. In addition, failure by the Client to make any payment as and when agreed shall release Michael Farmer Photography from any further responsibility under this contract, without the responsibility to return any monies previously paid to it under this contract. To the extent provided by law, the Client holds harmless Michael Farmer Photography, its officers, agents, and employees from all liability, damage, cost, or expense arising from claims for injury to persons, damage to property occasioned by reason of any conduct undertaken by reason of this contract (the hold harmless will not apply to the extent an injury is caused by the gross negligence of or the willful misconduct of Michael Farmer Photography, its officer, agents or employees). *

Inherent Qualities // The Client understands that photographs may fade or discolor over time due to the inherent qualities of dyes, inks, and materials and agrees to release Michael Farmer Photography and/or photographers from any liability for any claims based upon such fading or discoloration. Prints made at different times, from different cameras, or from digital media vs. film, are expected to have variations from each other in color balance and finish. Proof images may bear watermarks indicating they are proofs and showing Michael Farmer Photography’s name and copyright information. All print sizes are nominal sizes, not exact measure. The Client acknowledges and understands that they have hired the Photographer based upon the Photographer’s specialized skill and talent. Photographer has full creative control on framing, editing, and cropping of photographs. Images are edited at the Photographer’s discretion, and final delivery of images via online gallery may not include all images shot. The Photographer reserves the creative rights to edit and release only those images deemed credible as professional in quality and within the Photographer’s artistic standards. *

Governing Law // Michael Farmer Photography and Client agree the laws of the State of California shall govern the validity, construction, and performance of this Wedding Contract, without regard to its conflict of law principles. Any actions relating to this Wedding Contract shall be brought in the state or federal courts located in and serving Los Angeles county in California. Lawyer and/or court fees incurred by Michael Farmer Photography by actions taken are responsibility of the Client. *

Counterparts // Client and Michael Farmer Photography agree that electronic signatures are acceptable and shall have the same force and effect as if an original signature. *

Construction and Severability // Wherever possible, each provision of this Wedding Contract shall be interpreted so that it is valid under applicable law. If any provision of this Wedding Contract is held illegal or unenforceable, that provision will be reformed only to the extent necessary to make the provision legal and enforceable; all remaining provisions continue in full force and effect. *

Client’s Responsibilities // Client agrees to cooperate in scheduling and time management to allow the photographer to perform the taking of pictures under this contract. Client further agrees that Michael Farmer Photography is not responsible for the actions of others that impede the Photographer’s ability to take pictures under this contract. When the designated photographer of Michael Farmer Photography is performing actions under this Wedding Contract, Client shall cooperate within reason so that Michael Farmer Photography’s work will not be impeded. If for any reason the Client’s actions are such that the Photographer is unable to schedule and/or meet deadlines and/or the Client is being unreasonable in dealing with the Photographer, Michael Farmer Photography may terminate this Wedding Contract. If the Client’s actions are such that the Photographer’s work is severely impeded or impracticable to perform, then Michael Farmer Photography is not liable for the quantity and quality of pictures/videos taken. Michael Farmer Photography is not responsible for any fees incurred while performing services. This includes, but is not limited to, dinner fees, guest fees, parking fees and travel fees. Client agrees to provide one (1) meal for all Michael Farmer Photography employees working event for more than five (5) hours. *
